Terms & Conditions

Last updated: 19 September 2026.

These Terms and Conditions ("Terms") govern your access to and use of the Rank Digital Services website (rankdigitalservices.in), and the provision of digital marketing services by Rank Digital Services ("RDS", "we", "us", "our") to any individual or business that engages us ("Client", "you"). By using this website, submitting an enquiry, or engaging our services, you agree to be bound by these Terms. Please read them carefully.

1. About Rank Digital Services

Rank Digital Services is a digital marketing agency based in Surat, Gujarat, India, offering services including search engine optimisation, website development, paid advertising management, social media marketing, video editing, and AI automation, to businesses across India.

2. Acceptance of terms

By accessing this website, submitting a contact form, or entering into a service agreement with us, you confirm that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy. If you do not agree with any part of these Terms, please do not use this website or engage our services.

3. Website use

The content on this website, including service descriptions, blog articles, and general information, is provided for informational purposes only. While we make reasonable efforts to keep this content accurate and current, it should not be treated as a specific quote, proposal, or guarantee of results for your business. Specific project scope, deliverables, pricing and timelines are established only through a direct proposal or signed agreement between you and RDS.

You agree not to misuse this website, including attempting to gain unauthorised access to our systems, copying our content for commercial redistribution without permission, or using the website in any way that could damage, disable or impair it.

4. Service engagements

Each client engagement is governed by a specific proposal, statement of work, or signed agreement ("Engagement Document") that sets out the agreed scope of services, deliverables, timeline, and fees for that engagement. Where any conflict exists between these Terms and a specific Engagement Document signed by both parties, the Engagement Document shall prevail for matters specific to that engagement.

Engagements with RDS generally fall into one of the following categories:

  • Project-based engagements: A defined, one-time scope of work, such as a website build, a video editing project, or a landing page, delivered for an agreed fixed fee.
  • Monthly retainer engagements: Ongoing services such as SEO, paid advertising management, or social media marketing, billed on a recurring monthly basis for the duration of the engagement.
  • Combined engagements: A bundled scope covering multiple services, scoped and quoted specifically for the client's goals.

5. Fees and payment terms

Fees for our services are set out in the applicable proposal or Engagement Document. Unless otherwise agreed in writing:

  • Project-based engagements typically require an upfront deposit before work begins, with the balance due upon completion or delivery.
  • Monthly retainer engagements are billed in advance of each service month, unless a different billing cycle is agreed.
  • Invoices are payable within the timeframe stated on the invoice, generally 7 to 15 days from the invoice date, unless otherwise agreed.
  • Late payments may result in a pause of active work until outstanding amounts are settled, and we reserve the right to charge reasonable interest on significantly overdue amounts as permitted under applicable Indian law.
  • Advertising spend for paid media campaigns (Google Ads, Meta Ads, or other platforms) is separate from our management fees and is either billed directly to the client's own ad account or invoiced separately, as agreed per engagement. RDS does not mark up or retain third-party advertising spend paid directly to ad platforms.
  • All fees are exclusive of applicable taxes (including GST) unless stated otherwise, which will be added to invoices as required by law.

6. Refund Policy

We want every client relationship to be fair and transparent, including when it comes to payments and refunds. This section sets out, in detail, how refunds are handled across the different types of engagements we offer. Because digital marketing work often involves time, effort and third-party costs incurred early in a project, refund eligibility depends on the type of service, the stage of work completed, and the specific circumstances involved.

6.1 General principle

As a general principle, fees paid for work that has already been performed, or for third-party costs already incurred on your behalf (such as advertising spend, licensing fees, stock assets, or software subscriptions purchased for your project), are non-refundable. Fees paid for work that has not yet commenced are generally eligible for a refund, subject to the specific conditions below.

6.2 Project-based engagements (websites, video editing, one-time projects)

  • Before work begins: If you cancel before any work has commenced on your project, the deposit paid is refundable, less any non-recoverable costs already incurred by RDS in preparing for the engagement (such as third-party tools purchased specifically for your project).
  • After work has commenced: Once work has begun, the deposit becomes non-refundable, as it covers time, planning and resources already allocated to your project. If you cancel partway through a project, you will be invoiced for the proportion of work completed to that point, calculated based on milestones defined in your Engagement Document, and any amount paid in excess of that proportion will be refunded to you.
  • After project delivery: Once a project has been delivered and formally approved or accepted by the client (or deemed accepted after a reasonable review period stated in the Engagement Document, typically 7 days), fees for that project are non-refundable. If you believe delivered work does not meet the agreed scope, please raise this with us in writing within the review period so we can address it directly, including through revisions where reasonably included in scope.

6.3 Monthly retainer engagements (SEO, paid ads management, social media marketing)

  • Current month's fee: Monthly retainer fees are billed in advance for services to be performed that month and are non-refundable once the service month has begun, since planning, strategy and execution work commences from day one of the billing cycle.
  • Cancelling future months: You may cancel a retainer engagement for future months at any time by providing written notice in accordance with the notice period specified in your Engagement Document (typically 30 days). You will not be billed for service months beginning after your notice period has been served, and no further payment is due beyond that point.
  • Advertising spend: Amounts paid directly to advertising platforms (Google Ads, Meta Ads, etc.) are governed by that platform's own refund and billing policies and are not refundable through RDS, as we do not hold or control those funds once spent on your campaigns.
  • Performance-based dissatisfaction: Because RDS does not and cannot guarantee specific rankings, traffic, leads or advertising results (see Section 9), dissatisfaction with performance outcomes alone, where the agreed scope of work has genuinely been carried out, does not by itself entitle a client to a refund. We encourage clients to raise performance concerns with us directly so we can review strategy and adjust our approach.

6.4 Non-refundable items

Regardless of engagement type, the following are non-refundable under any circumstances:

  • Third-party advertising spend already delivered to Google, Meta, or any other advertising platform.
  • Domain name registrations, hosting fees, software licences, stock photography, stock video, or any other third-party costs paid or reimbursed on the client's behalf.
  • Work completed and delivered where no defect or deviation from the agreed scope has been identified within the applicable review period.
  • Setup or onboarding fees, where charged, once onboarding activities have commenced.

6.5 How to request a refund

To request a refund, email us at contact@rankdigitalservices.in with your name, the engagement or invoice in question, and the reason for your request. We aim to acknowledge refund requests within 3 business days and to resolve them, including processing any approved refund, within 15 business days of approval. Approved refunds are returned to the original payment method used, unless otherwise agreed with you in writing.

6.6 Disputed refunds

If we are unable to agree on a refund request, either party may raise the matter for resolution in accordance with Section 14 (Dispute Resolution) of these Terms before pursuing any other legal remedy.

7. Cancellation and termination

Either party may terminate an ongoing engagement by providing written notice in accordance with the notice period stated in the applicable Engagement Document. RDS reserves the right to terminate an engagement immediately in cases of non-payment, misuse of our services, provision of misleading information, or conduct that is abusive or unlawful. Upon termination, Section 6 (Refund Policy) above governs any amounts owed or refundable.

8. Intellectual property

Unless otherwise agreed in writing in an Engagement Document, upon full payment for a project, ownership of final, delivered creative assets specifically created for the client (such as a completed website design, edited videos, or ad creatives) transfers to the client. RDS retains ownership of its own pre-existing tools, frameworks, processes, and any underlying code libraries or templates not created exclusively for the client, and may reuse general skills, know-how and non-confidential techniques developed during an engagement in work for other clients. Content, branding, and material on this website itself remain the property of Rank Digital Services unless otherwise stated.

The client warrants that any materials it provides to RDS for use in a project (logos, images, copy, trademarks) are either owned by the client or properly licensed for use, and agrees to indemnify RDS against any claims arising from the use of such client-provided materials.

9. No guaranteed results

Digital marketing outcomes, including search engine rankings, organic traffic, advertising performance, conversion rates, and social media growth, depend on numerous factors outside the full control of any agency, including search engine algorithm changes, market competition, advertising platform policies, and the client's own website, product, pricing and market conditions. RDS does not guarantee specific rankings, traffic figures, lead volumes, sales figures, or return on advertising spend. Any figures, timelines or examples referenced in our marketing materials, proposals or communications are illustrative only and not a guarantee of results for your specific business.

10. Client responsibilities

Timely delivery of our services often depends on the client's cooperation. The client agrees to provide timely feedback, approvals, access credentials, content and materials reasonably required for RDS to perform the agreed services. Delays caused by the client in providing necessary information or approvals may reasonably extend project timelines without this constituting a breach by RDS.

11. Confidentiality

Both parties agree to keep confidential any non-public business, technical or strategic information disclosed by the other party during the course of an engagement, and to use such information solely for the purposes of that engagement, except where disclosure is required by law.

12. Limitation of liability

To the maximum extent permitted by applicable law, RDS's total liability arising out of or in connection with any engagement shall not exceed the total fees paid by the client to RDS for the specific engagement giving rise to the claim in the preceding three months. RDS shall not be liable for any indirect, incidental, special or consequential damages, including loss of profits, loss of business opportunity, or loss of data, arising from the use of our services or this website.

13. Force majeure

Neither party shall be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including natural disasters, internet or platform outages, government action, or other events of force majeure.

14. Dispute resolution and governing law

In the event of a dispute, both parties agree to first attempt to resolve the matter through good-faith direct discussion. If a resolution cannot be reached within 30 days, the dispute shall be referred to mediation or arbitration in Surat, Gujarat, before either party pursues formal legal proceedings, except where urgent injunctive relief is required. These Terms are governed by the laws of India, and subject to the exclusive jurisdiction of the courts of Surat, Gujarat.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

16. Entire agreement

These Terms, together with our Privacy Policy and any signed Engagement Document, constitute the entire agreement between the client and RDS regarding the subject matter herein, and supersede any prior discussions, representations or agreements not reflected in writing.

17. Changes to these terms

We may update these Terms from time to time to reflect changes in our services or applicable law. Material changes will be reflected by an updated "Last updated" date at the top of this page. For active client engagements, changes to these general Terms will not override specific terms already agreed in a signed Engagement Document.
